1. Basic Provisions
1.1. These General Terms and Conditions (hereinafter referred to as "GTC") govern the relationships between the contracting parties of the purchase contract or order, where on one side is Petr Jergon as the seller (hereinafter referred to as "Seller") and on the other side is the buyer (hereinafter referred to as "Buyer").
1.2. The Buyer can be either a consumer or an entrepreneur.
A consumer is any individual who, outside the scope of their business activities or outside the scope of independent pursuit of their profession, enters into a contract with the Seller or otherwise deals with the Seller.
An entrepreneur is one who independently carries out on their own account and responsibility a gainful activity in a trade or similar manner with the intention to do so consistently for the purpose of making a profit.
1.3. Legal relations between the Seller and the consumer not expressly regulated by these GTC are governed by the relevant provisions of Act No. 89/2012 Coll., Civil Code, and Act No. 634/1992 Coll., on Consumer Protection, both as amended.
1.4. Legal relations between the Seller and the entrepreneur not expressly regulated by these GTC or by the contract between the Seller and the Buyer are governed by the relevant provisions of Act No. 89/2012 Coll., Civil Code, as amended.
2. Order and Conclusion of Purchase Contract
2.1. All orders placed through the electroinsulators.com online store or by other means are considered binding.
2.2. Procedure for concluding the purchase contract:
a) The Buyer places an order through the e-shop, order form, email, or telephone
b) After receiving the order, the Seller processes the shipment parameters and determines the optimal shipping method
c) The Seller sends the Buyer an email confirmation of the order containing:
- recapitulation of ordered goods and their prices
- calculated shipping cost
- total price including shipping
d) The Buyer must confirm by email or telephone their agreement with the total price including shipping
e) The purchase contract is concluded only upon confirmation of the Buyer's agreement with the total price including shipping
2.3. The Seller reserves the right to cancel the order or part thereof before concluding the purchase contract in these cases:
- the goods are no longer manufactured or supplied
- the supplier's price has changed significantly
- the goods have become unavailable
Should this situation occur, the Seller will immediately contact the Buyer to agree on further steps.
3. Prices, Payment Terms, and Invoicing
3.1. All prices are contractual and are quoted excluding VAT in EUR unless explicitly stated otherwise. Prices shown in the e-shop are valid at the time of ordering.
3.2. VAT within the EU:
a) For entrepreneurs registered for VAT in the EU:
- When providing a valid VAT ID, VAT will not be charged (reverse charge)
- The Seller reserves the right to verify the validity of the VAT ID before applying VAT exemption
b) For other buyers from the EU:
- Czech VAT will be charged according to applicable rates
3.3. Payment methods:
a) Advance payment by bank transfer
- Goods are shipped after the payment is credited to the Seller's account
- The basis for payment is a pro-forma invoice or order confirmation
b) Payment by invoice (only for entrepreneurs upon prior agreement)
- Invoice maturity is typically 7 or 14 days from the date of issue
- Conditions for providing this payment method are determined by the Seller
3.4. Invoicing:
- Tax document (invoice) is sent to the Buyer electronically to the email address provided in the order
- The Buyer agrees to the use of electronic tax documents
3.5. The ownership right to the goods transfers to the Buyer only upon full payment of the purchase price.
4. Shipping and Delivery
4.1. Shipping cost:
- Is not included in the price of goods
- Is determined individually based on:
- dimensions and weight of ordered goods
- delivery location (country and delivery address)
- chosen shipping method
4.2. Shipping method:
a) The Seller typically arranges shipping through contracted carriers (Hermes Transport, TNT, DHL, Gebrüder Weiss, and similar depending on the delivery location) and chooses the optimal shipping method considering the nature of the shipment and delivery location.
b) The Buyer has the right to choose a different carrier or shipping method upon prior agreement with the Seller. In such case, the shipping cost will be determined according to the rates of the chosen carrier.
4.3. Delivery time:
- Delivery time varies depending on the delivery location and type of goods
- Specific delivery time will be communicated to the Buyer in the order confirmation
- The Seller will inform the Buyer about the delivery progress
4.4. The loading point for all shipments is Prague, Czech Republic.
5. Rights from Defective Performance and Complaint Procedure
5.1. Nature of goods:
a) The Seller supplies industrial electrical insulation materials (sheets, tubes, rods) intended for further industrial processing
b) Part of the assortment is customized according to customer requirements (cutting to size, specific modifications)
5.2. Inspection upon receipt:
a) The Buyer is obliged to inspect the goods upon receipt, particularly:
- quantity and dimensions according to the delivery note
- visible damage
- correctness of requested modifications for custom goods
b) Apparent defects must be claimed immediately upon receipt and a damage report must be written with the carrier. Later reported apparent defects will not be considered.
5.3. Complaint periods:
a) Defects detectable upon receipt: immediately upon receipt
b) Other material defects: within 3 working days of receipt
c) For custom-modified goods (cutting, specific modifications), only material defects can be claimed, not defects caused by requested modification
5.4. Complaint procedure:
a) Complaints must be submitted in writing to info@electroinsulators.com stating:
- order/invoice number
- exact description of the defect
- photo documentation
- requested solution method
b) Claimed goods must be:
- in original condition without further modifications or processing
- properly stored and protected from damage
- prepared for possible inspection by the Seller
5.5. Complaint resolution:
a) The Seller will decide on accepting the complaint within 3 working days
b) In case of accepted complaint, the Seller has the right to:
- deliver replacement material
- provide reasonable discount
- withdraw from the contract
5.6. Exclusions from complaint:
a) Defects caused by improper storage or handling
b) Defects caused by further processing of material
c) Dimensional modifications made at customer's request
d) Common technological deviations that do not affect functionality
e) Defects caused by normal wear and tear
6. Withdrawal from Contract
6.1. Due to the nature of goods (industrial materials, custom-modified products), withdrawal from contract is possible only under these conditions:
a) Only for standard unmodified goods in original packaging without signs of use or damage
b) Withdrawal from contract is not possible for:
- custom-modified goods (cutting sheets, tubes, and rods to required dimensions)
- any customer-requested modifications and processing
- goods that have been used or processed
- goods without original packaging
6.2. In case of legitimate withdrawal:
- goods must be returned in original undamaged condition and packaging
- costs for returning goods are borne by the Buyer
- the Seller will refund the purchase price within 14 days of receiving the returned goods
6.3. The Seller has the right to withdraw from the contract in case of:
- unavailability of goods
- error in goods price
- inability to deliver goods in required specification
7. Personal Data Protection
7.1. Protection of the Buyer's personal data is provided in accordance with Regulation (EU) 2016/679 (GDPR).
7.2. The Buyer consents to the processing of their following personal data:
- Name and surname
- Address
- Email
- Phone
- Company registration number and VAT number for entrepreneurs
7.3. Purposes of personal data processing:
- Fulfillment of purchase contract
- Sending commercial communications (only with explicit consent)
- Fulfillment of legal obligations
7.4. Data retention period:
- For the time necessary to fulfill the purchase contract
- For accounting purposes for the period stipulated by relevant legal regulations
- Until consent withdrawal in case of marketing purposes
7.5. Rights of data subjects:
- Right of access to personal data
- Right to rectification
- Right to erasure
- Right to restriction of processing
- Right to data portability
- Right to object
- Right to withdraw consent to processing
8. Dispute Resolution and Governing Law
8.1. Legal relations:
a) These GTC and all purchase contracts are governed by the law of the Czech Republic
b) For consumers from the EU, the protective provisions of their country of habitual residence apply
8.2. For out-of-court resolution of consumer disputes, the consumer has the right to:
a) In the Czech Republic, contact the Czech Trade Inspection Authority (www.coi.cz)
b) Within the EU, use the online dispute resolution platform at http://ec.europa.eu/consumers/odr
c) Use the relevant alternative dispute resolution entity in their country
8.3. In case of cross-border disputes, assistance to consumers is provided by the European Consumer Centre of the respective country.
9. Final Provisions
9.1. These Terms and Conditions are valid and effective from January 10, 2025.
9.2. The Seller reserves the right to change the GTC without prior notice. Purchase contracts already concluded are subject to the Terms and Conditions valid at the time of contract conclusion.
9.3. By placing an order, the Buyer confirms that they have read these GTC and agree with them.
9.4. If any provision of the GTC is invalid or ineffective, or becomes so, provisions whose meaning is closest to the invalid provision shall replace the invalid provisions. The invalidity or ineffectiveness of one provision does not affect the validity of the remaining provisions.
